Newly filed and still unnamed — no ticker, no exchange, no SIC and no record date exist yet. Preceded by confidential DRS submissions on 2026-05-15, 2026-06-25 and 2026-07-23. The announcement is dated from the parent's 8-K reporting an event of 2026-02-17: the board unanimously approved a plan to EXPLORE a possible spin-off separating the Knicks from the Rangers, and that filing says plainly there can be no assurance the transaction completes. A Form 10 has since been filed, which is a good deal more commitment than the language alone implies, but the deal is not declared. The Form 10, filed 2026-08-14, is a substantive registration statement — full financials, risk factors, executed inter-company agreements — but remains explicitly a preliminary filing with every date and count still a bracketed placeholder, and the board retains sole discretion to abandon the distribution.
